Theresa and Mike know what the code of conduct is and why it is used. The companies never thought about putting it in writing. In the recent past, maybe 20 years, companies never thought they would have to put it down in writing. As industries progress today, it is smart to put everything down in writing.
Many large companies today already have in effect a code of conduct. It is first introduced to the employees when they are hired in the employee handbook. They usually must sign stating they understand the code of ethics. Once a year they will have a meeting to refresh their memory regarding what the code of conduct is.
“The purpose of the code of conduct is to develop and maintain standards of conduct that are acceptable to the company, their vendors, customers and other employees.” (McKay, 2018)Industries may differ from other business, but behavior follow the same lines as company policy and how the company sees itself. It is there to remind employees that their actions, appearance, conduct and demeanor could affect the company and possibly the career. (McKay, 2018) Because not all code of conduct is not written the same, the company tries to be as clear as possible. Some companies go into more detail of what the employees cannot do, how they act and what the company expects of them. But most companies try to keep it short and to the point as to what the company expects.(McKay, 2018)
By having the code in writing the employee cannot come back and say I didn’t know that I couldn’t do that. It could keep the company out of a possible law suit. When the employee signs the form confirming that they have read the code of conduct, they are stating that they fully understand what the consequences could be if they don’t follow the rules. You don’t want anyone to confuse what can and cannot do in the office. (Leonard, 2018)
When developing a code of conduct of these two merged company, they will need to be careful. They may run across ethics concerns ad well as compliance challenges. Theresa and Mike need to put their heads together to identify differences in each of their code of conducts. Any potential differences need to be address and possibly merged into the code of conduct. I would run it by the stakeholders to get their input on setting up the new code of conduct.(Heathfield, 2018) I would suggest the following items be added to the code of conduct. These are suggestions, but could include more.

Respect for others – Explaining what the company approach to good and bad behavior. The bad behavior can include violence, offensive jokes and comments. (n.p., 6 Things to Include in Your Code of Conduct, 2018)

Violations and reporting misconduct – State exactly what the company policy is on reporting all violations. (n.p., 6 Things to Include in Your Code of Conduct, 2018)
I have read several companies code of conduct. The first one I read was Googles. Very easy to understand and show that they care about their employees and their company. Google expects employees and board members to understand and to act in accordance with the code. If this is not followed that person is subject to disciplinary action, to include termination. The prohibit all retaliation against anyone that reports a violation of the code, company policies and law. Their employee handbook has further information to include: equal opportunity employment, harassment, discrimination and bulling, drugs and alcohol, workplace safety and dog policy. (n.p., 2016) Their code of conduct cover everything I would consider the proper in the workplace. The employee handbook covers other item that are important to both the company and the employee.
