It's All About Perspective

This week’s video resource, Dell on building an effective board of directors, Michael Dell, CEO and Founder of Dell, Inc. discusses Dell’s strategy of having “Director Day”. This is a day each year when the directors go into an area of the business and report back what they learned as a way to get the directors’ perspectives on the plans and strategies at Dell.

How well do you think this strategy would work at other companies? Do you think it is important for the board of directors to know the business intimately? What problems might arise with directors getting involved in the business of management?

Dell CEO and founder Michael Dell has a “Director Day” strategy plan where directors are out learning in specified area of business and reporting findings back to the board (Endeavor global, 2009). How well do you think this strategy would work at other companies? I think this strategy is taking over management duties and would be less effective with annual area business visits. The director duties are more complex in nature than management duties. Director duties include, making important decisions that impact the future of the organization; overseeing performance; external advocate; electing a CEO. Managers’ duties are to manage daily activities; educate and inform the board of legal and other issue that affects operational activities; making operational decisions within the organization. In some organizations, especially newer organizations and inexperienced managers, directors can step into managers’ roles to provide more hands-on mentorship. What problems might arise with directors getting involved in the business of management? Directors may cause turnover in leadership and management; causes risk to the structure that assist both directors and managers in the organization.

Can a judge rule fairly and effectively on a case if he did not know the laws that applied to that case? No, he could not, and I think this concept applies with everything. I think the strategy that Dell has in place is very appropriate as far as their Board of Directors. I do believe that board of directors should know the business to some extent. They do not need to know the business inside out or be experts but know it enough that the strategies that they propose and decision that they make will be suitable for the business that they are in. I do think that the strategy that Dell uses can be used for any company in any industry. The issue that can arise and probably do arise is that the Board of directors after spending time in the business might want to tell the CEO how to run the company. As Dell’s CEO said in the video the purpose of having the Director Day is not for the directors to give them advice on technology but on things like evaluations and strategy. This can be avoided if there is a clear purpose to the board as to why they are spending time in the business. It can also be avoided if board members have a clear understanding of what their role is within the business.
